IntroductionSalomon v Salomon & Co Ltd [1897] AC 22 is a fascinating case of company law. The basis of the case of Salomon v Salomon & Co Ltd [1897] is very simple: an organization is an independent legal unit and therefore a legal individual in terms of law. The case has very simple aspects; however it is still a critical case and has different levels. In Victorian England there was a Jewish merchant whose name was Aron Salomon; he traded in leather. Aron Salomon started a business with the seven shareholders; these shareholders included his children and his sixth wife. He loaned money to the organization and then borrowed a sum of money which landed him in big trouble. He lent as a plausible creditor. The question of the law was who should be paid first, those who were unsecured creditors (such as bills and employees) or Salmon as a secured creditor. The UK Court of Appeal was anti-Semitic and the court deemed Salmon and his company a fraud. However, the House of Lords tribunal said that the company was well established, that it was not a fraud and therefore Mr Salomon was a different individual from his organisation, his stakeholders, his rights as a secured creditor and his position as administrator. .
